1. Acceptance of Terms

By creating an account or using Klaio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you are using Klaio on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Klaio is an AI-powered document knowledge base that allows you to upload documents, connect integrations (such as Notion), and query your content using natural language. The Service includes a web application, API access, and related features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

You must provide accurate information when creating your account. You are responsible for maintaining the security of your password and for all activity that occurs under your account.

You must notify us immediately at support@klaio.app if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account.

You may not create accounts using automated means or create accounts under false pretenses.

4. Acceptable Use

You agree not to use Klaio to:

• Upload content that infringes third-party intellectual property rights
• Upload malware, viruses, or other harmful code
• Violate any applicable law or regulation
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems or other users' data
• Use the Service to build a competing product using our infrastructure
• Scrape or excessively poll our API beyond the documented rate limits

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Your Content

You retain all ownership rights to the documents and content you upload to Klaio ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to process and store it solely for the purpose of providing the Service to you.

You represent that you have the right to upload Your Content and that it does not violate any third-party rights or applicable laws.

We do not use Your Content to train AI models. Your documents are used only to generate responses within your account.

6. Subscription and Billing

Some features of Klaio require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Billing cycle: Monthly or annual, depending on your chosen plan
• Cancellation: You may cancel at any time from your account settings. Access continues until the end of the current billing period — we do not provide pro-rated refunds for partial periods
• Refunds: Requests within 7 days of initial purchase may be granted at our discretion. Contact billing@klaio.app
• Price changes: We will notify you at least 30 days before any price increase

7. Intellectual Property

Klaio and its original content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our software or UI without written permission.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that AI-generated responses are accurate, complete, or suitable for any particular purpose. You are responsible for verifying any information provided by the Service before relying on it.

9. Limitation of Liability

To the maximum extent permitted by law, Klaio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may delete your account at any time from account settings. We may suspend or terminate your account for violations of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account deletion.

11. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.
